①激励对象职务发生变更，但仍为担任公司行政职务的董事、其他高级管理人员或员工，其已获授的股票期权不做变更。但是激励对象因不能胜任岗位、考核不合格、触犯法律、违反职业道德、泄露公司机密、失职或法职华行为严重损害公司利益或声誉而导致的职务变更，经公司董事会薪酬与考核表员会批准并报公司董事会备案，可以取消激励对象尚未行权的股票期权。

⑤激励对象自离职之日起所有未行权的股票期权即被取消。激励对象在.后一次行权之日起2年内离职的，须将其因实施本次股权激励计划所得的全部收益返还公司，经公司董事会薪酬与考核委员会批准不收回收益的激励对象除外。激励对象在后一次行权之日起2年后离职的，若因发生泄露公司商业机密等不当行为的，公司董事会薪酬与考核委员会有权要求其返还其因实施本次股权激励计划所得的全部收益，包括转让行权所得标的股票所获收益。

If the incentive object resigns after two years from the date of the next exercise of the right, and due to the disclosure of the company's trade secrets and other improper acts, the compensation and evaluation committee of the board of directors of the company has the right to require it to return all the income it has received from the implementation of the equity incentive plan, including the income from the transfer of the underlying stock of the exercise.
⑥激励对象因达到国家和公司规定的退休年龄退休而离职的，其所获授的股票期权不做变更，仍可按规定行权。

⑦激励对象死亡的，自死亡之日起所有未行权的股票期权即被取消。但激励对象因履行职务死亡的，公司有权视情况根据激励对象被取消的股票期权价值对激励对象进行合理补偿，由其继承人继承。
